1. Parties and Effective Date: This Internet Advertising Agreement (AGREEMENT) is entered into between (FILL IN BELOW) hereinafter referred to as "MERCHANT" with an address at (FILL IN BELOW) and FRUGALCENTER, LLC, hereinafter referred to as "FRUGALCENTER" with an address at P.O. Box 637, Dracut, MA 01826. This Agreement shall commence upon execution by the parties and continue for one (1) month and renew automatically each month until terminated by either party as provided for in Paragraphs 4 and 5.
2. Entire Agreement: The services are provided to the MERCHANT under this AGREEMENT and as described herein, and the TERMS AND CONDITIONS attached hereto and made a part of this AGREEMENT. The TERMS AND CONDITIONS of this AGREEMENT supersede any previous agreement, statement of terms and conditions, or understanding between MERCHANT and FRUGALCENTER. All representations or promises relied upon in executing the AGREEMENT are included in the AGREEMENT in conjunction with the TERMS AND CONDITIONS, which is also available at www.frugalcenter.com.
3. Billing: The first month’s payment is due and shall be paid following the execution of this AGREEMENT, and no services shall be rendered until receipt of said payment. After the initial payment, monthly scheduled payments are due every thirty (30) days. If payment is not received by FRUGALCENTER according to the payment terms, an attempt to inform the MERCHANT shall be made at the address on file provided by the MERCHANT. If the MERCHANT does not cure the default within seven (7) days of notification of default, all Internet and related services provided by FRUGALCENTER may be suspended or terminated.
4. Recurring Charges Until Cancelled: MERCHANT authorizes regularly scheduled charges to the credit card provided with execution of this AGREEMENT. MERCHANT will be charged $30 each billing period, which shall be every thirty (30) days. You agree that no prior-notification will be provided unless the date or amount changes.
5. Modifications or Amendments: Modifications or amendments to the INTERNET ADVERTISING AGREEMENT will only be made if expressed in writing and may be made 30 days after Email or US Postal notification is sent to the MERCHANT. MERCHANT shall keep FRUGALCENTER informed of any changes in the principals or management of MERCHANT, its current email and mailing address and telephone number to which notices and invoices may be sent.
6. Right to Terminate: Either party may terminate this AGREEMENT, with or without cause, by giving a thirty (30) day written notice to the other party by email to merchantservice@frugalcenter.com or by certified US Postal mail. No refund of the amount paid will be given. Further, any violation of any term of this AGREEMENT by the MERCHANT may cause suspension of MERCHANT’s advertisement until the violation is cured. FRUGALCENTER retains the right to remove any information that violates any term or terms of this AGREEMENT or the TERMS AND CONDITIONS available on www.frugalcenter.com.
7. Content: MERCHANT agrees to assume full responsibility and liability for the content of its advertisement. FRUGALCENTER is not responsible for, and in no way warrants, guarantees, or ratifies, the representations made or implied in MERCHANT’s content. MERCHANT may modify its content through its MERCHANT account accessible through www.frugalcenter.com. MERCHANT may request assistance from FRUGALCENTER in creating and uploading the information to www.frugalcenter.com. Assistance will be provided on a first come first served basis.
8. Limitations of Use: MERCHANT shall not advertise, promote or solicit any illegal business or enterprise. Further any DEAL offered, advertised or provided by MERCHANT through FRUGALCENTER shall NOT offer any alcohol, tobacco, nicotine, cannabis products or age restricted products or services. Merchants’ advertisements may not contain any profanity, sexually or violently explicit language, pictures, or other similar depictions.
9. Limitation of Liability and Liquidated Damages: In no event shall FRUGALCENTER or its agents, officers, employees, or any affiliated company, or any agent, officer, or employee of any such company (INDEMNITEES), be liable for incidental or consequential damages of any kind, including but not limited to, loss of revenue or profits whether resulting from breach of contract, negligence, or otherwise. The MERCHANT acknowledges it has been informed that FRUGALCENTER is dependent on Godaddy.com for Internet access and routing. INDEMNITEES shall not be held liable if Godaddy.com or its affiliates should experience a problem that prevents FRUGALCENTER or FRUGALCENTER’s MERCHANTS from gaining access to the Internet, the MERCHANT’s website, and/or the MERCHANT’s advertisement. Any liability of FRUGALCENTER, including, without limitation, any liability for damages caused or allegedly caused by any failure of performance, error, omission, interruption, deletion, delay of operation or transmission, communications line failure, theft, or destruction of, or unauthorized access to, alteration of, or use of records, shall be strictly limited to one month’s charges paid by or on behalf of the MERCHANT to FRUGALCENTER.
10. Indemnification: MERCHANT shall indemnify, defend, and hold FRUGALCENTER and INDEMNITIES harmless against and with respect to any and all claims, demands, losses, costs, expenses, obligations, liabilities, damages, recoveries, and deficiencies, including without limitation, interest, penalties, and attorneys’ fees, that MERCHANT shall incur or suffer, which arise, result from or relate to any action taken or omitted, or representation made by the MERCHANT to their customers. The duty to indemnify arises in any action or legal proceeding that arises, results from, or relates to, in whole or in part, any action, inaction, or representation of the MERCHANT. The MERCHANT has a duty to pay the attorneys’ fees of the lawyers FRUGALCENTER chooses to defend itself in any such action.
11. Arbitration: Any controversy or claim arising out of, or related to, this AGREEMENT shall be settled by arbitration in the County of Middlesex, State of Massachusetts, in accordance with the then existing rules of the American Arbitration Association and judgment on the arbitration award may be entered in any court having jurisdiction over the subject matter in the controversy.
12. Severability and Assignment: If any provision of this AGREEMENT is held by any court to be invalid, void, or unenforceable, the remaining provisions of this AGREEMENT shall continue in full force and effect. FRUGALCENTER has the right to sell, assign, and/or transfer this AGREEMENT with its rights, title, or interest in it to any person, firm, or corporation at any time, and such assignee shall acquire all rights and assume all the obligations of FRUGALCENTER under this AGREEMENT.
13. Required MERCHANT page Information: Detailed listing in DEALS section of the FRUGALCENTER website for MERCHANT will include MERCHANT name, contact name, address, telephone number, fax number (if appropriate), email link and MERCHANT logo or image (425 x 425 pixels – to be provided by MERCHANT), link to MERCHANT’s own web site if applicable, brief description of MERCHANT’s products or services and a discount on the goods or services negotiated between MERCHANT and FRUGALCENTER. MERCHANT shall also offer and shall allow the advertising on FRUGALCENTER an exclusive UNIQUE DEAL to patrons who mention FRUGALCENTER. The UNIQUE DEAL shall not be offered through any other competing advertising medium or program.
14. Acceptance of FrugalNetwork Discount Program: MERCHANT agrees to participate in the FrugalNetwork program through which the MERCHANT provides a 10% discount to customers who present a valid FrugalCode at time of purchase. MERCHANT shall not be required to offer the 10% discount on the purchase of the UNIQUE DEAL referenced in paragraph 13 above.
